Is the cash buyer a wholesaler? What does assignment of contract mean when I sell my house in PA?

A plain-language answer for Pennsylvania homeowners, with the official sources listed below. Reviewed October 2026.

Short answer

A wholesaler signs a contract to buy your house, then assigns that contract to another buyer for a fee, without owning the property. Pennsylvania's Act 52 of 2024 treats this as real estate brokerage activity, requires licensing, and requires disclosures. Ask any buyer whether they plan to close themselves or assign the deal.

What wholesaling means

In a wholesale deal, the person who makes you an offer does not plan to buy the house with their own money. They sign a contract with you, then look for another buyer and assign the contract to that buyer for a fee. The wholesaler's profit is the gap between what they agreed to pay you and what the end buyer pays them.

This is not automatically a bad thing. But it matters to you because the person promising to close may not have the funds, and the real buyer may not be the company you spoke with.

What Pennsylvania changed

Act 52 of 2024 was approved July 8, 2024 and took effect 180 days later, on January 4, 2025. It defines a wholesale transaction as promoting the sale or purchase of an interest in residential property with the intent to assign or transfer it for compensation without taking title as owner of record.

People who do this now fall under Pennsylvania's real estate licensing law. The wholesale contract has to say plainly that it is a wholesale transaction and that the buyer intends to transfer it for a fee without taking title. It also has to tell you that you can get an appraisal, talk to an unaffiliated licensee or see a lawyer.

You can cancel a wholesale contract that includes the required disclosures until midnight on the 30th day after you sign, or until the deed transfers, whichever comes first. If the disclosures are missing, you can cancel any time before the deed transfers. That right cannot be waived, and payments must be refunded within 10 business days of your notice.

Questions to ask before you sign

Ask: Will you close on this house yourself, or do you intend to assign the contract? Who is the end buyer, and can I see proof of funds? Do you hold a Pennsylvania real estate license? What happens to my deposit or my deal if the end buyer backs out?

If the answers are vague, slow down. A direct buyer can answer in a sentence. The FTC also advises getting every term in writing and being wary of pressure to act fast.

What this means for your price

A wholesale offer usually has to leave room for the wholesaler's fee, so the price to you can be lower than what a direct buyer with their own funds might offer. That is not always the case, because direct buyers also build in repairs and profit. The way to know is to collect more than one offer.

Kaizen Home Buyers makes cash offers, buys as-is and charges no agent commission. Whoever you work with, get the offer in writing and ask who is on the other side of the table. Questions can go to 267-329-0084.

When a wholesaler may still be the right choice

A wholesale buyer is not always the wrong answer. If a wholesaler has a real buyer list, discloses the arrangement and offers a fair price, the sale can work. The risk is mostly in the details: no funds, hidden fees, no disclosure, or a contract that locks up your house while the wholesaler shops it.

If you sign with one, find out the contract length and what lets you cancel. An attorney can read it in a short meeting, and that is cheap protection compared with being tied up for weeks.
